TMX Group’s Office of the General Counsel is a high-performing legal team with offices in Toronto, Montreal and Calgary and is responsible for providing TMX Group and its subsidiaries with the full suite of legal services they need to support and develop their businesses, including with respect to corporate, securities, governance, regulatory, commercial and intellectual property law.

The Legal Affairs Technician will join the Montreal-based team of 4 lawyers and will report to the Chief Legal Officer, MX, CDCC. The Legal Affairs Technician will work closely with the Chief Legal Officer and Legal Counsels on various projects designed to meet the strategic objectives of the Bourse de Montréal (MX) and the Canadian Derivatives Clearing Corporation (CDCC). He or she will be directly responsible for specific paralegal duties and will offer some administrative support to the team. This role is an integral part of the Montreal legal team and contributes significantly to its efficiency and success.

The ideal candidate is highly self-motivated, seeks to continually acquire new knowledge, has a pro-active and positive attitude and is known for exercising good judgment.

Key Accountabilities:

• Serve as one of MX’s and CDCC’s key contacts for regulatory reporting; coordinate with internal groups to complete quarterly, annual and key event reporting as required under our various orders and regulations;
• Prepare and submit regulatory filings to Canadian and foreign regulators;
• Research on a variety of topics including regulatory developments; analyze and report to counsel;
• Prepare documentation for Board and Committees meetings of MX and CDCC;
• In collaboration with the lawyer responsible for the file, participate to the rule amendment process of MX and CDCC rulebooks, including identifying rules to be amended, preparing regulatory filings and managing the public comment process;
• Update MX’s and CDCC’s rulebook to incorporate self-certified amendments and maintain official version and archives of the rulebook;
• Act as clerk for the MX disciplinary proceedings and manage all logistics for disciplinary hearings (preparation of originating notices, scheduling meetings, drafting of correspondences and notices of hearing);
• Assist in the production, revision and translation and ensure quality of various legal documents and regulatory correspondence;
• Draft, review and publish on MX’s and CDCC’s website circulars and notices of information (circulars for request for comments, self-certification and pertaining to disciplinary hearings);
• Assist with the regular review and update of policies and procedures;
• Assist with project management and workflow of legal files;
• Contribute to the development, implementation, maintenance and improvement of work processes and file management, including records retention in coordination with other GCO offices;
• Liaise with internal and external contacts on behalf of the Legal team;
• Assist in processing correspondence and inquiries brought to the Legal team;
• Other administrative duties as required to ensure efficiency and smooth functioning of the team.

Must Have Skills:

• Minimum 5 years of experience as a legal technician/clerk with an emphasis on corporate/commercial/securities law;
• Undergraduate degree and/or law clerk certificate;
• Ability to think proactively with the confidence to exercise initiative responsibly;
• Ability to work independently with minimal supervision;
• Advanced knowledge of MS Office and Adobe Acrobat;
• Discipline and attention to details;
• Impeccable French and English grammar, written and spoken;
• Strong sense of effective organization and priority management;
• Comfortable in a demanding and at times fast paced environment;
• Strong sense of cooperation and teamwork;
• Effective communication skills and ability to rapidly establish working relationships;
• Discretion and professionalism.
