ABOUT BOREALIS INFRASTRUCTURE:Borealis Infrastructure is the core infrastructure investment fund of Ontario Municipal Employees Retirement System (OMERS) with over $18 billion in assets under management and ranks as one of the world’s largest infrastructure investors.Role:The Director, Taxation will report directly to the Vice-President, Finance and will be primarily responsible for tax compliance across Borealis. This role will also work closely with the Senior Vice-President, Taxation on all other tax related issues.
The position’s responsibilities include monitoring existing tax structures, ensuring continued compliance with applicable tax laws and assisting in the review and implementation of transaction-related tax structures; specifically:•Actively manage the implementation, maintenance and enhancement of Borealis’ portfolio companies’ structures, including regular reviews of existing structures to ensure continued tax compliance with tax laws.•Design, implement and maintain effective processes to manage and document tax risks for all activities related to investment tax planning, structuring and compliance.•Reviewing the adequacy of any material tax positions assumed in the valuations of our investments.•Oversee and monitor Borealis tax filings and compliance in all jurisdictions, including:oLiaising with internal and external tax specialists and auditors, as required. oPreparing special CRA returns and filings.oReviewing and signing off on annual tax returns prepared by tax specialists.oCompleting the PBSA quantitative analysis for potential new investments to ensure OMERS is in compliance with rules and guidelines. oPreparing various management reports, e.g. investments held under the various trust structures.•Assist the Senior Vice-President, Taxation on tax structuring matters as they pertain to Borealis’ investments and divestitures in all jurisdictions (Canada, US, Europe, Latam and Australia). •Remain current with respect to Canadian tax law and expand tax knowledge of key tax elements to relevant jurisdictions outside of Canada (primarily Europe, US, Latam and Australia) •Work with the Borealis CFO, VP Finance and OMERS, Tax in adhering to enterprise-wide tax policies and procedures to the unique needs of the infrastructure environment and liaise with OMERS, Tax and other investment entities to transfer best practices in tax, structuring and corporate organization.•Lead and/or participate in special projects assigned by management.•All other duties as assigned from time to time.
•Minimum of 5 years of experience in tax•Chartered Accountant and completion of the CICA In-depth Tax Course (or equivalent)•Strong problem solving and analytical skills •Strong, proactive team player•Ability to multi-task and thrive under pressure•Highly motivated individual with a proven track record to deliver results and execute effectively on key initiatives in both the short and longer term.•Ability to work with management at all levels.•Ability to communicate clearly, concisely and accurately (both verbal and written)
